The procedure for registering an LLC with a foreign founder is almost identical to this procedure for Russian entrepreneurs, but it has some peculiarities. Russians Russian-speaking foreigners need the help of an interpreter to sign and process documents, who will help the foreigner understand the meaning of the documents they are signing, and if the founder of the LLC is a foreign company, they will need to provide properly translated into Russian and certified documents of the foreign company.
The procedure for opening an LLC with a foreign founder consists of several stages:
- preparatory stage, information gathering and discussion of details;
- preparation of documents, as well as their signing and notarization;
- submitting an application to the tax service for registration of an LLC;
- receipt of documents on registration of an LLC from the tax service.
To register an LLC with a foreign founder, it is necessary to prepare a package of documents for the tax:
- application form P11001 for registration of LLC;
- the decision on the establishment of an LLC by a single founder or the minutes of the meeting on the establishment of an LLC with several founders;
- establishment agreement for companies with two or more participants;
- Charter (standard or individual);
- a letter of guarantee from the owner of the premises indicated as the legal address.
A foreigner intending to open an LLC in Russia must personally visit a notary public, who will certify the authenticity of his signature on the application form P11001, and also send the registration documents to the tax authority. To visit a notary, you will need to provide the original passport and a copy of the passport in Russian with a notarized translation certificate.
If the founder is a citizen of Belarus, he will need to perform a standard notarization without providing a passport translation. If a foreigner does not speak Russian, then signing and processing documents with a notary requires the help of an interpreter who will help the foreigner understand the meaning of the documents he signs.
In addition to the standard set of documents, a foreign legal entity must submit to the tax service for registration:
- an extract from the commercial register of its state;
- the constituent documents are in the original language and in Russian;
- a certificate of tax registration in the country of registration;
- bank statements of existing accounts in the Russian Federation.
All copies of the documents must be translated into Russian with a notarized translation certificate and an apostille stamp. This rule applies to countries that have signed the Hague Convention of 1961.
If a foreign legal entity is registered in a country that has not signed the Hague Convention (for example, China), then the documents must be “legalized” in the consular departments of their states in Russia or directly in the country of registration, going through the so-called “consular legalization” procedure.
As practice shows, there are many difficulties in the process of registering an LLC with a foreign founder in Russia, and independent preparation of documents by a foreigner is associated with frequent refusals to register an LLC, which can be completely different. Even seemingly small mistakes become a significant obstacle to opening an LLC in the territory of the Russian Federation.
